WinnerInvoice — Mobile Invoicing & Estimates

1. Acceptance

By downloading, installing, accessing, or using WinnerInvoice (the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy, incorporated by reference.

If you do not agree, do not use the Service.

These Terms are a legally binding agreement between you and ICI Tech Teknoloji A.Ş. ("Company", "we", "us", "our"), registered in Turkey.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be capable of forming a legally binding contract
• If using the Service for a business, have authority to bind that business to these Terms

You may use Demo Mode without an account. Full account creation requires meeting the above eligibility criteria.

4. Account Registration

If you create an account, you agree to:

• Provide accurate, current, and complete registration information
• Keep your credentials confidential
• Notify us at app@icitech.com.tr of suspected unauthorized access
• Maintain only one account per person or business
• Accept responsibility for all activity under your account

5. Demo Mode

WinnerInvoice offers a demo/try-before-you-signup mode that allows you to explore core features before creating a full account.

In Demo Mode:

• All data is stored locally on your device only
• No personal data is transmitted to our servers
• Feature access may be limited
• Data created in Demo Mode may or may not transfer to a full account (as indicated in the app at the time)
• Creating a full account and migrating demo data constitutes acceptance of these Terms

6. Free Tier and Subscription Plans

Free Tier

Core invoicing and estimate features are available at no charge. Feature limits and capabilities are described within the app and may change with reasonable notice.

Paid Plans

Advanced features (including collaboration, premium templates, higher document limits, and priority support) are available via subscription through the App Store (iOS) or Google Play (Android).

• Billing is handled entirely by Apple or Google
• We never receive or store your payment card details
• Subscriptions auto-renew unless cancelled before the renewal date
• Pricing is shown in the App Store or Google Play listing

Manage your subscription:

• iOS: Settings → [your name] → Subscriptions → WinnerInvoice
• Android: Google Play → Profile → Payments & subscriptions → Subscriptions → WinnerInvoice

7. Cancellation and Refunds

Cancel through the App Store or Google Play — not through the app or by contacting us.

EEA and UK consumers retain statutory withdrawal rights — see Section 24.

8. The Service — What WinnerInvoice Is and Is Not

What WinnerInvoice IS

WinnerInvoice is a mobile document creation and management tool designed to:

• Create professional invoices and estimates from a mobile device
• Generate and share PDF documents via WhatsApp or email
• Manage customer records and job history
• Work offline and sync when connectivity returns
• Support multilingual and multi-currency billing

What WinnerInvoice IS NOT

WinnerInvoice is not:

• A full accounting system or bookkeeping platform
• A tax advisory, VAT compliance, or payroll service
• An official financial reporting tool
• A substitute for professional accounting software in regulated contexts
• A payment processing platform (we do not handle money transfers between you and your customers)

9. Your Responsibilities as a Business User

You are solely responsible for:

Tax and regulatory compliance

Ensuring your invoices comply with all applicable tax laws, VAT regulations, invoicing requirements, and commercial regulations in your jurisdiction and the jurisdictions of your customers. WinnerInvoice does not provide tax advice and does not guarantee that documents generated with the app satisfy any specific legal or regulatory requirement.

Record-keeping

Maintaining your own business records as required by applicable law. You should not rely solely on WinnerInvoice as your primary record-keeping system. Export and back up your data regularly.

Accuracy of documents

You are responsible for the accuracy of all information, prices, tax rates, and details on invoices and estimates you create.

Customer communications

You are responsible for all communications with your customers, including disputed invoices or payments.

10. Data Processing — Your Customers' Data

Your role as data controller

When you enter your customers' personal data (names, contact details, addresses, tax IDs) into WinnerInvoice, you act as the data controller for that data under applicable data protection law. We act as your data processor (Article 28 GDPR where applicable).

Our commitments as data processor

We commit to:

• Processing end-client data only on your instructions and only to provide the Service to you
• Not using end-client data for our own marketing, advertising, or analytics
• Implementing appropriate technical and organizational security measures
• Notifying you of data breaches involving your end-client data without undue delay
• Assisting you in responding to your customers' data subject requests
• Deleting or returning end-client data upon termination of your account as described in our Privacy Policy

Your obligations

You must:

• Have a valid legal basis to process your customers' personal data
• Inform your customers that their data may be processed using third-party tools such as WinnerInvoice, to the extent required by applicable law
• Respond to data subject requests from your customers regarding the data you hold about them
• Ensure that sharing customer data via PDF (WhatsApp, email, export) is lawful and consistent with your data protection obligations

11. WhatsApp and Email Sharing

When you share a PDF invoice or estimate via WhatsApp or email, you acknowledge that:

• You initiate this sharing action and bear responsibility for it
• The PDF may contain your customers' personal data
• WinnerInvoice facilitates the sharing but does not control what happens to the PDF once it leaves the app
• You must ensure you have the right to share that data with the recipient
• WhatsApp sharing is subject to WhatsApp's own terms and privacy policy

12. Offline Mode and Cloud Sync

WinnerInvoice supports offline document creation. You understand that:

• Data created offline is stored locally until connectivity returns and sync completes
• We are not responsible for data loss arising from failure to sync due to device issues, app deletion, or prolonged offline periods
• You should export and back up important documents regularly and not rely solely on app storage

13. Acceptable Use

Use the Service for lawful business purposes in accordance with these Terms and all applicable laws.

14. Prohibited Conduct

You agree not to:

• Use the Service to create fraudulent, deceptive, or misleading invoices or business documents
• Enter false information about your customers or transactions
• Use the Service to facilitate tax evasion or fraud
• Attempt to reverse engineer, decompile, or extract source code
• Use automated tools or bots to interact with or scrape the Service
• Resell or sublicense access to the Service
• Violate applicable law

15. Intellectual Property

All Company Content — including the WinnerInvoice name, logo, app design, invoice templates, and software — is owned by or licensed to ICI Tech Teknoloji A.Ş.

You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own business purposes in accordance with these Terms.

Your documents: PDF invoices and estimates you create belong to you. We claim no ownership over your business documents.

Feedback you submit grants us a perpetual, royalty-free licence to use it without obligation.

16. Your Content and Data

You own your invoice data, customer records, business profile, and documents. You grant us a limited licence to store, process, and sync this data solely to provide the Service to you.

You are responsible for the accuracy and lawfulness of all content you create.

17. Privacy

Your use is governed by our Privacy Policy. For EEA/UK users, our GDPR Privacy Notice also applies, including data processing obligations.

18. Third-Party Services and Platforms

Apple App Store (iOS)

• These Terms are between you and ICI Tech Teknoloji A.Ş. — not Apple
• Apple has no obligation to maintain or support WinnerInvoice
• Apple and its subsidiaries are third-party beneficiaries of these Terms

Google Play (Android)

Google Play is not a party to these Terms.

WhatsApp

WhatsApp sharing is a user-initiated action subject to WhatsApp's own terms. We are not affiliated with or responsible for WhatsApp Inc.

19. Availability and Changes

• We aim for continuous availability but do not guarantee uninterrupted access
• Offline features work without connectivity; cloud sync requires internet
• We may modify, suspend, or discontinue features with reasonable notice
• We are not liable for interruptions outside our reasonable control

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" without warranties of any kind, including:

• That invoices generated comply with any specific legal or tax requirement
• That data will never be lost or corrupted
• Uninterrupted or error-free operation
• That the Service meets your specific business or accounting needs

21. Limitation of Liability

To the maximum extent permitted by applicable Turkish law, ICI Tech Teknoloji A.Ş. shall not be liable for:

• Any financial, tax, or legal consequence arising from your use of invoices created with the Service
• Loss of business data, revenue, or customer relationships
• Indirect, incidental, special, consequential, or punitive damages
• Any damages exceeding the greater of (a) fees paid to us in the twelve months preceding the claim, or (b) ₺500

Nothing limits our liability for gross negligence, fraud, or any liability that cannot be excluded under mandatory Turkish law.

22. Indemnification

You indemnify ICI Tech Teknoloji A.Ş. against claims arising from: your violation of these Terms, your failure to comply with applicable tax or invoicing laws, your misuse of end-client data, or your violation of applicable law.

23. Termination

By you

Delete your account via Settings → Account → Delete Account. Cancel your subscription first via App Store or Google Play. Export your data before deleting.

By us

We may suspend or terminate accounts for breach of these Terms, non-payment, fraudulent use, or legal requirements.

Effect

Your licence ends. Export your data before termination where possible. Sections 9, 10, 15, 20, 21, 22, and 24 survive termination.

24. Governing Law and Disputes

Governed by the laws of the Republic of Turkey, including the Turkish Code of Obligations and Law on Consumer Protection No. 6502.

Disputes subject to the jurisdiction of Istanbul (Çağlayan) courts, subject to mandatory EEA/UK consumer rights.

EEA and UK consumers retain mandatory local consumer protection rights, which cannot be waived.

25. Changes to These Terms

Material changes notified at least 14 days in advance. Current version at /en/terms.

26. Miscellaneous

• Entire agreement: These Terms and Privacy Policy constitute the full agreement.
• Severability: Invalid provisions severed; remainder continues.
• Waiver: Non-enforcement is not a waiver.
• Assignment: You may not assign without consent; we may assign freely.
• Language: English version prevails over translations.
